Peter Roach - MAICD
Executive Chairman & Joint Chairman of Retail and
Product Development Committee

Peter has more than twenty years of experience in the Australian health food industry, is a director of CenturCorp Retail Pty Limited, Wild Food Pty Limited, former Chairman of Go Vita Distributors Pty Limited and former founder and Managing Director of DVC Discount Vitamin Centres. With DVC, Peter developed a retail chain of 10 health food stores in Sydney and Melbourne with more than 70,000 loyalty club members. As former Chairman and Marketing Director of Go Vita Distributors Pty Limited, Peter administered a national health food distribution and retail operation that today successfully operates with over 100 retail stores. Peter is a member of the Australian Institute of Company Directors.

 
Terry Cuthbertson - B.Bus CA
Non-Executive Director and Audit Committee Chairman

Terry Cuthbertson has advised several businesses and government organisations in relation to mergers, acquisitions and financing and has a network of contacts in China, including businesses in China and the health, food and retail sectors.

Terry is Chairman of Montec International Limited, Austpac Resources N.L., My Net Fone Limited and S2 Net Limited. Terry was a Partner of KPMG Corporate Finance and NSW Partner in Charge of Mergers and Acquisitions, where he coordinated government privatisation, mergers, acquisitions and divestiture activities and public offerings on the Australian Stock Exchange for the New South Wales practice. Terry was also the Group Finance Director of Tech Pacific Holding Limited, which was the one of the largest information technology distributors in Asia with a turnover in 1999 of AUS$2 billion and was a Director for Tech Pacific Limited‘s businesses in China, Hong Kong, Singapore, India, Philippines, Indonesia and Thailand.

Guy Robertson - B.Com. (Hons) CA
Chief Operating Officer

Guy Robertson was General Manager of Finance of Franklins Limited, Chief Operating Officer and Finance Director of the Colliers Jardine Group and Managing Director of Jardine Australian Insurance Brokers NSW.

Guy has over 25 years of international experience in finance and as a senior executive. With Franklins Limited, Guy was General Manager of Finance for Australia’s third largest supermarket chain and was responsible for monthly reporting on the company’s 400 profit & cost centres, including statutory reporting, preparation of reports for investment analysts, strategic planning, tax, treasury and insurance. As Chief Operating Officer and Finance Director of the Colliers Jardine Group, Guy had full authority for operations, finance and strategic planning of a property services group with 34 offices and 3,000 personnel in 12 countries, including Australia, New Zealand, Hong Kong, Singapore and Taiwan and development of new offices in Thailand, Indonesia, Vietnam, Philippines, India and China.

Guy is a Chartered Accountant, a professional company secretary and he holds a Bachelor of Commerce Degree with Honours.

 
Michael Wu - B.Com, M.Com MAICD
Executive Director

Michael Wu has successfully implemented the Company’s export, logistics and business development initiatives for the Aurinda health product range. Michael has been responsible for all product development contract manufacturing, export development, logistics, registration and compliance of the Aurinda health products. This has included the registration and protection of intellectual property of 40 products, including registration of some products with the Therapeutic Goods Administration.

Michael has administered the research and development activities of the Company, having developed over 40 products and has been responsible for the Company’s Australian business development activities, including the targeting and negotiation of business acquisitions.

Michael holds Master of Commerce and Bachelor of Commerce degrees.

 
Robert Dulhunty - B.Com, LLB Hons,

Director

Robert Dulhunty will be a member of Healthzone’s business development committee. Robert Dulhunty has been a consultant to Healthzone since January 2006 in relation to its capital raising activities and the acquisition of 11 businesses. Robert is Managing Director of Development Capital Corporation, lectures in Corporate Finance in the University of Technology Sydney Masters of Finance program and has more than 15 years of experience in corporate finance, funds management and accounting. Robert is a Chartered Accountant, a member of the Australian Institute of Company Directors, holds an MBA, a Bachelor of Commerce Degree and has completed a Bachelor of Laws Degree program with honours

 
Guoguang Tao - B.Com MAICD
Head of China Markets

Guoguang Tao is Head of China Markets and responsible for the distribution and marketing of the Company’s products in Asia. In this role, Guoguang has achieved sales growth and has established the Company’s distribution network through pharmacies, supermarkets and departments stores in over 30 cities in Asia. Guoguang is former Marketing Director of China Apollo Enterprises (HK) Co. Ltd, which was the largest biotechnology company in China, listed on the Hong Kong Stock Exchange.

Guoguang holds a Bachelor of Commerce Degree and is a Member of the Australian Institute of Company Directors.

 
Corporate Governance

The Board will include Non-Executive Directors and Executive Directors.

The primary functions of the Board include responsibility for:

- The overall corporate governance of the Company;

- Formulating, approving and monitoring corporate objectives with a view to maximising shareholder value;

- Selection, appointment and review of key consultants and executives;

- Identification of management and business risks;

- Monitoring systems of internal control and compliance;

- Monitoring financial performance including adopting annual budgets; and

- Approving the Company’s financial statements and reporting to shareholders on the Company’s performance.

An Audit and Remuneration Committee has been established with three members and a Non-Executive Director as Chairman.
